The evolution of OpenAI from research lab to $852 billion entity

OpenAI transitioned from a 2015 nonprofit research lab to an $852 billion entity through a strategic compute-for-equity model. The 2019 Microsoft partnership provided essential Azure cloud resources in exchange for significant equity and revenue shares.

The evolution of OpenAI from research lab to $852 billion entity

The 2015 nonprofit mission

OpenAI began in 2015 as a nonprofit research organization in San Francisco. Founders including Sam Altman, Elon Musk, Greg Brockman, and Ilya Sutskever aimed to develop artificial general intelligence that benefits all of humanity. The founding group included Wojciech Zaremba, John Schulman, Andrej Karpathy, Trevor Blackwell, Vicki Cheung, Durk Kingma, and Pamela Vagata. They wanted to advance digital intelligence without being constrained by the need to generate financial return. Elon Musk resigned from the company in 2018 because of a potential conflict of interest with Tesla. As the organization moved toward training large models, the need for massive computing power became evident. Researchers in the early years faced mockery for stating an aim to build AGI. The team included the author of Attention is All You Need, the founder of GANs, the inventor of RNN, and the ex-director of Tesla AI. The mission states that artificial general intelligence must benefit all of humanity. OpenAI joined companies like Meta and Google as one of the few to achieve $1B+ in revenue within a decade. The company currently manages the transition from a pure nonprofit to a structure that includes a Public Benefit Corporation.

The 2019 Microsoft compute deal

The 2019 partnership with Microsoft established a model where equity in exchange for computing power drives AI development. Microsoft provided a $1 billion investment, much of which provided the computing power required to train advanced models. The 2019 agreement established a precedent where Microsoft provided massive cloud computing resources through Azure to secure a significant stake in the burgeoning artificial intelligence research lab which had previously functioned only as a nonprofit entity. The task of building a gigantic GPU system is as complex as training the models themselves; therefore, compute access remains essential. In 2023, Microsoft provided an additional $10 billion investment. This arrangement permitted OpenAI to train large models with massive amounts of computing. Like the 2006 Google acquisition of YouTube, OpenAI faced astronomical costs for bandwidth and storage. The company requires massive funds to keep up with the demand for AI processing. The relationship allowed Microsoft to hold a seat at the AI table through exclusive tech and revenue shares. However, OpenAI’s ambition to target enterprise users led to friction. OpenAI executives expressed frustration regarding Microsoft’s position and the access to computing.

Feature 2019 Agreement Terms 2026 Updated Terms
Microsoft Stake Value $1 billion investment ~$228 billion
Cloud Exclusivity Azure exclusivity Non-exclusive
IP Access Duration Until AGI achievement Through 2032
Revenue Share Uncapped share Capped at 20%

A new era of independence?

OpenAI reached an $852 billion valuation in March 2026 after closing a $122 billion funding round. This round included $50 billion from Amazon, $30 billion from SoftBank, and $30 billion from Nvidia. Participants also included Andreessen Horowitz and D. E. Shaw Ventures. Such capital requirements forced OpenAI to renegotiate its relationship with Microsoft in April 2026. The new deal removes Azure exclusivity, so OpenAI can use Amazon AWS or Google Cloud. Microsoft maintains the right to resell OpenAI technology through 2032. The revenue-share payments to Microsoft now face a cap, with reported payments around $38 billion through 2030. OpenAI also committed $250 billion to purchase Azure services. This commitment allows Microsoft to secure a massive business stream while OpenAI seeks hyper-growth. OpenAI has committed $1.4 trillion to infrastructure spending and envisions adding $1 trillion per year in new capacity. The nonprofit OpenAI Foundation still governs the Public Benefit Corporation by appointing the entire board. This structure allows OpenAI to attract traditional investors while maintaining its mission. You should understand that the nonprofit Foundation holds 26% equity but retains governance rights. Microsoft’s stake in the company reached roughly $228 billion by May 2026. An independent panel now must affirm when OpenAI reaches artificial general intelligence. This new determination of AGI achievement removes the previous clause that made the contract void upon reaching such a milestone. OpenAI also plans to develop consumer hardware, which remains outside Microsoft’s intellectual property rights. Will the nonprofit foundation maintain its influence as the company grows into a multi-trillion dollar entity?
